Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the websites, online tools, and related services (collectively, the “Services”) offered by Antigaius, Inc. (“Antigaius,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and accounts
You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Changes to the Services or Terms
We may modify the Services or these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated through the Services or by other reasonable means. Your continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
3. Permitted use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful business or personal purposes in accordance with these Terms.
You agree not to:
- Violate any applicable law or regulation;
- Infringe the intellectual property, privacy, or other rights of any party;
- Attempt to gain unauthorized access to the Services, other users’ data, or our systems or networks;
- Interfere with or disrupt the Services (including by introducing malware, excessive automated traffic, or denial-of-service activity);
- Scrape, harvest, or collect data from the Services through automated means without our prior written consent;
- Reverse engineer, decompile, or disassemble any part of the Services except to the extent such restriction is prohibited by law;
- Use the Services to develop a competing product or service;
- Misrepresent your identity or affiliation.
4. Configurator, quotes, and orders
Any motor configurator, pricing displays, estimates, or checkout or inquiry flows are provided for informational and planning purposes unless and until a separate written agreement (including a purchase order or contract accepted by Antigaius) expressly states otherwise. Nothing on the Services constitutes an offer to sell. Specifications, lead times, pricing, and availability are subject to change without notice. We reserve the right to accept or decline any order or inquiry in our sole discretion.
5. Intellectual property
The Services and all associated content—including software, text, graphics, logos, images, and design—are owned by Antigaius or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited license in Section 3, no rights are granted to you. You may not use our name, trademarks, or branding without prior written permission.
If you submit feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate them without obligation to you.
6. User content and communications
If you submit content through forms, email, or other channels (including contact requests and newsletter signups), you represent that you have the rights to provide that content and that it does not violate law or third-party rights. You grant us a license to use such content as needed to operate the Services, respond to you, and improve our offerings.
7. Third-party links and services
The Services may link to third-party websites or services. We are not responsible for third-party content, practices, or policies. Your use of third-party services is at your own risk and subject to their terms.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE JURISDICTIONS, DISCLAIMERS ARE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANTIGAIUS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO ANTIGAIUS FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnification
You will defend, indemnify, and hold harmless Antigaius and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Provisions that by their nature should survive (including Sections 5, 8, 9, 10, 11, 12, and 13) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and the federal laws of the United States applicable therein, without regard to conflict-of-law principles. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction there. If you are a consumer, you may have additional rights under local law; nothing in these Terms limits rights that cannot be waived by contract.
13. General
These Terms constitute the entire agreement between you and Antigaius regarding the Services and supersede prior understandings on that subject. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
14. Contact
For questions about these Terms, contact us through the contact form on our website or at the mailing address for Antigaius, Inc. on file with applicable corporate records.
